• Entity Coverage provides direct coverage to the insured entity under the Directors and Officers (D&O) liability policy. Generally, corporate forms of D&O will only indemnify an insured entity when it is legally obligated to indemnify corporate officers and directors for their actions on behalf of the entity. However, if the lawsuit specifically lists an insured entity as the defendant, a standard D&O policy does not provide coverage. Corporate insurance, which until recently was only available under D&O policies written for nonprofits and healthcare providers, is intended to cover the organization itself, not just its directors and officers. A number of corporate D&O forms will now provide proof of an organization’s coverage for an additional fee.
