• Legal Entity Securities Insurance is a section of a directors and officers liability (D&O) policy that covers a legal entity in the event of claims against the legal entity in connection with securities issued by the legal entity. The claims covered by this section of the policy are usually the result of a specific corporate action that causes the market price of a firm’s securities to fall. The “C-side” coverage, as the institution’s securities coverage is often referred to, is actually an extension of the normal coverage provided by D&O liability policies, which require an additional premium.
